1. Acceptance of Terms

By accessing or using the Non-Exec.AI website (https://www.non-exec.ai and app.non-exec.ai)) and our related AI corporate governance tools, platforms, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Non-Exec.AI provides an artificial intelligence-powered platform designed to assist boards of directors, executives, and governance professionals with corporate governance, strategic decision-making, risk management, and board evaluation.

3. Registration and Accounts

To access certain features of the Services, you may be required to register for an account.

  • You agree to provide accurate, current, and complete information during the registration process.
  • You are responsible for safeguarding your password and for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. AI Advisory Disclaimer and Fiduciary Duty

The insights, analytics, and recommendations generated by Non-Exec.AI are provided for informational and supportive purposes only.

  • Not Professional Advice: The Services do not constitute formal legal, financial, accounting, or specialized professional advice.
  • Human Oversight: AI-generated outputs should be reviewed by qualified professionals. Non-Exec.AI does not assume any fiduciary duty or liability for corporate decisions made based on the platform's outputs.
  • Fiduciary Responsibility: The ultimate responsibility for corporate governance, compliance, and strategic decisions remains strictly with your organization’s human executives and board of directors.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable local, national, or international law or regulation.
  • Upload, transmit, or process highly classified government information, protected health information (unless covered by a specific agreement), or unredacted, highly sensitive trade secrets without appropriate enterprise-level agreements in place.
  • Attempt to reverse engineer, decompile, hack, or otherwise compromise the AI models, algorithms, or underlying infrastructure of Non-Exec.AI.
  • Use the Services to generate biased, discriminatory, or unlawful governance frameworks.

6. Intellectual Property Rights

  • Our IP: Non-Exec.AI and its original content, features, functionality, AI models, and proprietary algorithms are and will remain the exclusive property of Non-Exec.AI and its licensors.
  • Your Data: You retain all rights to the data, documents, and prompts you input into the Services ("User Content"). By submitting User Content, you grant Non-Exec.AI a limited, secure license to process this data solely for the purpose of providing the Services to you. Non-Exec.AI does not use your User Content to train generalized or non-personalized AI models unless explicitly disclosed and, where required, consented to in advance.

7. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which outlines how we collect, use, and protect your data. By using the Services, you consent to the data practices described in our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Non-Exec.AI, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services;
  • Any reliance placed on AI-generated insights or recommendations;
  • Any unauthorized access, use, or alteration of your transmissions or content.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms.

10. Governing Law

All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one arbitrator appointed in accordance with the said Rules. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London, England. The language to be used in the arbitral proceedings shall be English. The governing law of the contract shall be the substantive law of England and Wales.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

12. Copyright and Intellectual Property Policy (Notice and Takedown)

12.1. Respect for Intellectual Property

We respect the intellectual property rights of others and expect our users to do the same. It is our policy, in appropriate circumstances and at our discretion, to disable or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights or other intellectual property rights of others.

12.2. Submitting a Copyright Takedown Notice

If you are a copyright owner, or are authorized to act on behalf of one, and you believe that content hosted on our platform infringes your copyright, you may submit a takedown notice. To request the removal of content, please provide our Designated Copyright Contact with the following information in writing:

  • Your physical or electronic signature.
  • Identification of the copyrighted work that you claim has been infringed. If multiple copyrighted works are covered by a single notice, provide a representative list of such works.
  • Identification of the material that you claim is infringing, including specific URLs or sufficient detail to allow us to accurately locate the content on our platform.
  • Your contact information, including your full name, mailing address, telephone number, and email address.
  • A statement of good faith that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  • A statement of accuracy declaring that the information in the notification is accurate, and that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

12.4. Our Response and Action

Upon receipt of a valid and complete takedown notice, we will investigate the claim and take expeditious action to remove or disable access to the allegedly infringing material. We will also make a reasonable, good-faith attempt to contact the user who uploaded the content so they are aware of the removal.

12.5. Counter-Notice Procedure

If you believe that your content was removed by mistake or misidentification, you may submit a counter-notice to our Designated Copyright Contact. Your counter-notice must include your physical or electronic signature, identification of the removed content, a statement under penalty of perjury that you have a good faith belief the content was removed by mistake, and your contact information.

12.6. Misuse of the Takedown Process

Please be aware that any person who knowingly and materially misrepresents that material or activity is infringing may be liable for damages. Do not submit false or automated claims.

13. General Provisions

Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver: Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
